GTX Corp Signs Letter of Intent with GPS Care Limited to Set Up Commercial Operations through a Joint Venture in Honk Kong, Macau, Taiwan, and China

Los Angeles, July 11, 2012 – GTX Corp (OTCBB: GTXO), a leader in customizable, patented 2-way GPS solutions and GPS Care Limited, headquartered in Honk Kong, recently signed a letter of intent to formulate a joint venture to set up commercial operations to sell, distribute and support the entire GTX Corp platform of GPS enabled hardware, software, connectivity and monitoring services.

Under the agreement GPS Care Limited will contribute $2 million in cash along with human resources and local infrastructure. Whereas, GTX shall make non-cash asset contributions including, licensing of Intellectual Property, technology, general know-how, human capital, contracts, sales leads; as well as the rights to sales and distribution of all GTX products and services including its flagship GPS Smart Shoe and Smartphone Apps. Initially the operating regions shall be confined exclusively to Hong Kong, Macau, Taiwan, and the People's Republic of China, however may expand to neighboring countries such as the Philippines, Indonesia, Malaysia and Thailand upon further market analysis and final approval by GTX Corp.

Upon completion of funding GTX Corp and GPS Care Limited shall execute a definitive Joint Venture Agreement facilitating the launch of the GPS Personal Tracking technology owned by GTX Corp and its subsidiaries. GTX Corp will initially own 45% of the JV and have 2 out of the 5 board seats. It is the intention of both parties that the agreement will be completed by or before September 30, 2012; however, the parties may extend the execution date if they mutually see the need and agree to do so.

GPS Care Limited was founded by Dr. Wing Leung who received his Ph.D in Applied Physics from Stanford University and served as the President of Gemstar Technology, Inc. from 1996 to 1999. From 2000 onward he has been the President of CNLink Networks, Inc. providing Internet services for International Enterprises in China and is on the board of ANPAC Semiconductors Limited, based in Hong Kong.

GTX Corp had been exploring ways to penetrate the Asian markets for several years and even signed a Platform Test Agreement last year with a local footwear manufacturer, which after several months’ negotiations ended. “After exploring this very large market with such tremendous potential for over a year, our board felt that forming a joint venture rather than looking for a distributor, would give us more input in the process and more equity in the outcome and this would be a far more effective way to enter the Asian markets. Dr. Leung brings a core understanding of the region and proven track record in building technology companies and we look forward to working with him and his team,” stated Patrick Bertagna, Chairman and CEO of GTX Corp.

GPS Tracking Apps

If you haven't tried out the GPS Tracking App yet, now is the time! The application will let you locate your friends, family and co-workers. With a simple tap on the screen you will be able to let the others know where you are or you can request for their location. Integrated with Google maps the App allows the users to locate where their friends are on the Google Maps. The Application even offers turn by turn directions that facilitates the users to locate each other in a quick and easy manner.

One thing's for sure, the GPS Tracking App is a really well put together and thought out app. There are a couple other great features this app offers including Integration with Facebook, Twitter, unlimited users, text messaging, no Ads and much more. It is an interactive friend finder, social networker, party starter and much more making it a must have application.

One mobile connection for every person in the world by 2015 and every connection is 2-way.

Cisco predicts that by 2015 there will be 5.6 billion mobile devices and 1.5 billion separate machine-to-machine nodes. Coincidentally, global mobile data traffic will grow 26 times between 2010 and 2015, to 6.3 exabytes–a billion gigabytes–per month, according to the latest report from Cisco’s Visual Networking Index Global Mobile Data Traffic Forecast. Additionally, fully two-thirds of all mobile data traffic will be video by 2015, the report predicted.

There are now more than 60,000 native apps for the iPad tablet. Apple adds that consumers downloaded 7 billion apps in the last year alone – LOCiMOBILE”S 2 way GPS TRACKING APPS among them – and one can only wonder what that number might become with video as an option. 2010 Highlights

· Multiple New Product Introductions and Appreciable Recognition of Leading-edge Technology Platform. 15 new products were launched expanding the Company’s total product offerings by 200%. Several of the Company’s location-based social networking (LBSN) mobile applications were included in both the iTunes and Android lists of top Apps for 2010.

· Significantly Increased Consumer User Base. The GTX worldwide user base crossed 800,000 in over 100 countries, compared with 25,000 users at the end of last year. Driving this increase was the Company’s active participation in many industry conferences, traditional media exposure in numerous television segments and newspaper and magazine articles as well as the Company’s increasing social media visibility.

· Major New Licensing Agreements. Licensing agreements with Aetrex Worldwide, Inc and MNX Midnight Express were signed, with shipments to MNX commencing in late December and Aetrex initiating production for its first commercial order.

Quantitative proof of the frequency of the “where” question being asked

Among all smartphone users, the most popular app among feature phone users is Google Maps (46%) followed closely by Facebook (45%). The simplest conclusion to be drawn from the data is that “where” is my; friend, family, spouse or co-worker must be top of mind for multi-millions and the GPS Tracking app to resolve that question is to be found at LOCiMOBILE, a subsidiary of GTXCorp (GTXO.OB).

The number of consumers using telematics smartphone apps with connected cars is about to increase over 40 times in the next five years. ABI Research today estimates that by 2016, 129 million people will use smartphone software that works with a vehicle, up from only 3.2 million consumers this year. Such forecasts could fuel new and innovative mobile apps specific to vehicles and travel-related activities.

Smartphone applications specific to cars may best illustrate the promise of mobility and connectivity: intelligent, discreet devices combined with wireless broadband and smarter cars. While there have been a number of in-vehicle applications for years — think of navigation, point-of-interest searches, real-time traffic data and remote automobile diagnostics — most until now have been constrained for use within the vehicle.

By leveraging the ability for a smartphone to be tied with a car, such apps can move beyond in-car use. And as vehicles gain more processors and sensors, especially in greener cars as noted in a GigaOM Pro report, (subscription required), the possibilities for mobile apps will expand.

So what kinds of mobile apps will connect smartphone-toting drivers with their cars? Ford already launched software specific to its all-electric Ford Focus, allowing users to remotely monitor the battery level and even schedule a recharge during off-peak rate hours. Location Labs, in a partnership with T-Mobile, today launched software that can detect when a driver is behind the wheel of a vehicle and automatically shoot calls direct to voicemail or lock down access to text messaging. Focused on driver safety, the new app appears to monitor vehicle movement through GPS, but in the future, could get that data directly from the car. Whatever the application, mobile broadband and smart handsets combined with the cars of tomorrow could give new meaning to the term “information superhighway.”

We cannot leave home without our smartphone

According to a survey from Deloitte, Revolutions 2010, smartphone apps are indeed transforming consumer behavior. More consumers are turning to their smartphone for entertainment, news and information than previous traditional sources.

From the survey, 62 percent of respondents said the availability or presence of mobile apps causes them to carry their smartphones when they otherwise would not. That means as consumers, we cannot leave home without our smartphone.

Testament to the survey’s view of changing consumer behavior patterns can be seen as Apple nears 10 billion app downloads. It only took Apple took nine months to reach 1 billion downloaded wireless applications, and less than two years later, the company is getting ready to issue a $10,000 iTunes gift card to the person who downloads app number 10 billion. At the current pace, this milestone will be reached Jan. 23. Research firm Asymco says that across all three of the iOS-supported devices, users have downloaded an average of 60 apps each.

Smartphone App Market to Be Worth $15B

Smart phone applications have revolutionized the ways in which users access documents and information and conduct day-to-day business tasks. The apps have revolutionized the ways in which we communicate – both in our personal and corporate channels – and technology is at our fingertips more than ever.

But the real story lies here: the facts, figures, and numbers. For the first six months of 2010 alone, the smart phone application market has in fact grown to $2.2 billion already. Total mobile application downloads has reached 3.8 billion. Now, compare that to 3.1 billion downloads in aggregate 2009, and it’s easy to process the coming estimates for the near future: expansion to a $15 billion market by 2013. Los Angeles, CA, August 17, 2010—As it crosses 600,000 downloads in 84 countries, LOCiMOBILE®, Inc. a wholly-owned subsidiary of GTX Corp (OTCBB: GTXO), has inked a deal with Samsung Electronics Co, Ltd., the world's second-largest handset manufacturer in 2009 with sales of more than 235 million units (source, Gartner February 2010) to deliver its family of GPS Tracking Apps to Samsung’s new line of smartphones and bada platform.


Samsung, a leading mobile phone provider, launched its own open mobile platform, Samsung bada, in December 2009. This new addition to Samsung's mobile ecosystem enables developers to create applications for millions of new Samsung mobile phones, and offers consumers a fun and diverse mobile experience. Samsung chose the name “bada”—which means “ocean” in Korean—to convey the limitless variety of potential applications that can be created using their new platform.


In the agreement, GTX Corp will develop versions of its tremendously popular GPS Tracking apps specifically for mobile phones that will run Samsung's new bada operating system. GTX expects its GPS Tracking apps to be featured for sale on the Samsung Application Store beginning in October 2010. Of the 40 million estimated Samsung handsets expected to ship between now and mid-2011, 15-20 million will be the new “Scotia” models, to be shipped before the end of 2010.

GTX Corp’s announcement follows on the heels of an 89% increase in its revenues over the previous quarter and a number of recent software and hardware deals, including the launch of its new consumer based social networking portal www.gpstrackingapps.com. The company also formally launched its GPS Tracking app for the iPad several weeks ago and has already updated that app to version 1.1, and is launching a new GPS camera app this coming month, which will continue to add value to the growing suite of LOCiMOBILE GPS apps.

On the hardware side, developments include embedding miniaturized GPS tracking devices in the Aetrex Ambulator® GPS shoe, which just debuted to the trade at the WSA Show in Las Vegas, and for packages with international shipper MNX.

ABI Research predicts that more than 550 million GPS-enabled handsets will be shipped by 2012. LOCiMOBILE®, with 10 GPS apps on the market and 3 more in development across 4 major platforms, continues to gain traction and momentum in what is estimated to be a $29 billion dollar market by end of 2013.
